Champion Breweries Plc. has officially opened its rights issue, offering ordinary shares at N16.00 each, following approvals from the Securities and Exchange Commission (SEC) and the Nigerian Exchange Limited (NGX). The offer, which began on Monday, November 24, 2025, will run until January 5, 2026, and is open to shareholders recorded as at Thursday, September 4, 2025 (the qualification date).

This capital raise forms the first milestone in Champion’s strategic plan to fund the proposed acquisition of the Bullet brand portfolio (subject to regulatory clearance). The aim is to bolster its pan-African growth platform and diversify earnings through the expanded beverage portfolio.

Eligible shareholders have been issued Provisional Allotment Letters and Participation Forms via the Registrar, Africa Prudential Plc. Applications can be submitted through any Authorized Receiving Agent or electronically via the NGX Invest platform (https://invest.ngxgroup.com).

In a weekend statement, Champion Breweries disclosed that the net proceeds from the rights issue will be used to partially finance the acquisition of all brand assets and intellectual property of the Bullet ready-to-drink beverages lineup. The company also provided a snapshot of its recent performance and growth outlook, underscoring a pattern of solid financial results.

For example, revenue climbed from N12.7 billion in 2023 to N20.9 billion in 2024, while net income rose from N370 million to N817 million over the same period.

Additionally, Champion reported revenue of N15.9 billion and net income of N2.3 billion for the first half of 2025, marking the strongest half-year performance in the company’s history.

Related developments highlight Champion’s momentum, including Bullet’s acquisition, which is expected to accelerate the company’s evolution into a diversified, export-enabled beverage business with a stronger earnings base and a wider African consumer footprint.

Commenting on the rights issue, Champion’s Managing Director, Dr. Inalegwu Adoga, noted: “We’re pleased with the progress of our rights issue and the robust engagement from our shareholder community. This initiative gives current investors a direct stake in Champion’s next chapter—combining nearly five decades of heritage with a fast-growing pan-African platform.”

David Butler, Group Managing Director of enJOYcorp, added: “The rights issue demonstrates Champion’s continued commitment to disciplined, sustainable growth. The Bullet asset carve-out structure will provide immediate scale and foreign exchange earnings without heavy upfront investment. Our existing shareholders remain central to this transition.”

The rights issue is being administered by Rand Merchant Bank Nigeria Limited as Lead Issuing House, with FBNQuest Merchant Bank Limited, CardinalStone Partners Limited, Investment One Financial Services Limited, and CFG Maynard Limited as Joint Issuing Houses. Africa Prudential Plc. serves as Registrar to the Offer.
